These Terms of Service ("Terms") govern your use of the Apparatus Exchange website and services ("Platform"), operated by Apparatus Exchange LLC ("we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms.
Apparatus Exchange is a transaction fee-based marketplace that connects sellers of used fire apparatus with potential buyers. We earn a transaction fee on completed sales originated through our Platform. We do not buy, sell, own, or take possession of any apparatus listed on the Platform.
You must be at least 18 years of age to use this Platform. You agree to use the Platform only for lawful purposes and in a manner consistent with these Terms.

Sellers are solely responsible for the accuracy and completeness of all information submitted in listing intake forms. By submitting a listing, you represent and warrant that:
Apparatus Exchange reserves the right to remove any listing at any time for any reason, including but not limited to inaccurate information, complaints from other users, or violation of these Terms.
No Upfront Fee. There is no cost to list an apparatus on Apparatus Exchange. Listing and national exposure are provided at no charge to the seller.
10% Transaction Fee on Sale. In consideration for the services provided — including listing creation, national distribution, and buyer introduction — Apparatus Exchange earns a transaction fee equal to 10% of the gross final sale price of any apparatus sold through or as a result of the Platform. This transaction fee is the sole financial obligation of the seller and is due upon closing.
Buyer Introduction Documentation. All buyer inquiries submitted through the Platform are routed through Apparatus Exchange and managed by Apparatus Exchange throughout the transaction. This routing creates a documented record establishing that Apparatus Exchange originated the buyer relationship. A "Platform-introduced buyer" means any buyer who submitted an inquiry, contacted us, or was identified through any Apparatus Exchange listing, email, or communication.
180-Day Tail Period. If an apparatus is sold to a Platform-introduced buyer within 180 days of the listing being removed, withdrawn, or expired — for any reason — the 10% transaction fee applies to that sale in full. The tail period begins on the date the listing is removed from the Platform.
Closing Notification. Sellers agree to notify Apparatus Exchange in writing within 5 business days of accepting an offer or completing a sale of any listed apparatus. Notification does not relieve the seller of the transaction fee obligation — it triggers the invoicing process. Failure to notify does not eliminate the transaction fee owed.
Invoice and Payment. Upon closing, Apparatus Exchange's platform fee is automatically deducted from the escrow balance before proceeds are disbursed to the seller. The escrow account distributes funds at closing — no separate invoice is required.
Transaction Fee on Price Reductions. The transaction fee is calculated on the actual final sale price agreed to by the parties, not the original asking price. Sellers may not artificially reduce the reported sale price to reduce transaction fee obligations.
All buyer inquiries submitted through the Platform are received and logged by Apparatus Exchange and managed by Apparatus Exchange throughout the transaction. Buyers acknowledge that their inquiry details will be used by Apparatus Exchange to facilitate the transaction on behalf of both parties. Apparatus Exchange retains a record of all introductions for transaction fee enforcement purposes.

The Apparatus Exchange Valuator provides estimated market value ranges based on AI-generated analysis of comparable listings and market data. These estimates are informational only and do not constitute an appraisal, guarantee of value, or recommendation to buy or sell at any particular price.
Actual market conditions and individual apparatus conditions may vary significantly. Always consult qualified professionals for appraisal or valuation needs.
To the maximum extent permitted by applicable law, Apparatus Exchange and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or any transaction conducted through it.
Apparatus Exchange does not warrant the accuracy, completeness, or reliability of any listing content, seller representations, or valuation estimates provided on the Platform.
Our total liability for any claim arising from use of the Platform shall not exceed the total transaction fee amounts paid by you to Apparatus Exchange in the twelve months preceding the claim.
Any dispute relating to transaction fee amounts, tail-period applicability, or buyer introduction records shall first be submitted to Apparatus Exchange in writing for good-faith resolution. If a dispute cannot be resolved within 30 days, the parties agree to binding arbitration under the rules of the American Arbitration Association in the jurisdiction of Apparatus Exchange's principal place of business.
We reserve the right to modify these Terms at any time. Material changes — including changes to the transaction fee rate or tail period — will be communicated to active sellers with 30 days' notice. Continued use of the Platform following notice constitutes acceptance of the updated Terms.
